When incorporating a company in the United Kingdom, two indispensable requirements must be satisfied before the registration application can be accepted by Companies House: the registered office and the service address of the directors. These are not optional formalities or ancillary services to be activated at a later stage: they are legal obligations without which incorporation cannot proceed and the company cannot operate in a compliant manner.

For a non-resident entrepreneur — managing their LTD from Italy or another country — these two requirements carry even greater significance, as they necessarily require the use of a physical address in the United Kingdom. What is the Registered Office

The registered office is the company's official legal address, publicly registered with Companies House and visible to anyone in the public database of the British company register. It is the address to which all official communications from Companies House and HMRC are delivered, including notification letters, deadline reminders, legal documents and any formal correspondence with the authorities.

Mandatory legal requirements:

  • Must be a physical address in the United Kingdom — a PO Box alone is not permitted
  • Must be located in the jurisdiction of incorporation: if the company is registered in England and Wales, the registered office must be in England or Wales; if in Scotland, it must be in Scotland; if in Northern Ireland, in Northern Ireland
  • Must be operational and capable of receiving correspondence: someone must physically collect and process mail delivered to the address
  • Must be kept current: any change of address must be notified to Companies House within 14 days using form AD01

What it does NOT need to be:
The registered office does not need to be the company's operational headquarters, nor an office where the director physically works. ECCTA 2023 update — Registered Office Reform:
Since October 2023, Companies House has introduced the requirement for an appropriate address: the registered office must be an address at which any document sent to the company can reasonably be expected to come to the attention of a responsible person, and from which the receipt of documents can be acknowledged. This has effectively eliminated the possibility of using addresses where mail is not actually managed — a practice previously used by some fraudulent companies to evade official notifications.

What is the Service Address

The service address is the address at which official communications intended personally for the director and persons with significant control (PSCs) are delivered, distinct from the director's private residential address. It is publicly registered with Companies House and visible in the public database.

Why the service address exists:
UK law requires that the director's address be publicly available, but recognises the legitimate interest in protecting private residential privacy. The service address allows the director to comply with the transparency obligation without publicly exposing their home address — an important safeguard, particularly for those residing abroad.

Legal requirements:

  • Can be any address anywhere in the world — it does not need to be in the United Kingdom
  • Must be a real address at which correspondence is actually received and handled
  • Cannot be a PO Box without an associated physical address
  • Must be updated within 14 days of any change using form CH01

Key distinction from the registered office:
The registered office is the address of the company. The service address is the address of the director (and PSC). They are two distinct entities with separate obligations. It is possible — and very common in practice — for the director's service address to coincide with the company's registered office, particularly when both are provided by the same service provider.

Receipt of HMRC communications
HMRC sends all critical communications to the registered office: the letter activating the UTR (Unique Taxpayer Reference), corporation tax deadline notices, tax enquiry notifications. If the address is not actively monitored, these communications are missed — with consequences ranging from penalties for non-response to the initiation of formal proceedings.

Legal notices and court documents
Any legal document served at the registered office is considered validly delivered to the company, even if the director has no actual knowledge of it. The responsibility for monitoring correspondence at the registered address lies with the director, not with Companies House.

Impact on the company's tax residency
The registered office address does not determine the company's tax residency — that depends on the place of effective management. However, using a professional address in the United Kingdom with personnel who actively manage correspondence helps document the company's operational presence in the country, a relevant factor in the event of a challenge from the Italian tax authority.

How to choose a registered office provider

The registered office services market in the United Kingdom is broad and varied, with providers ranging from basic services at £20 per year to comprehensive solutions with mail management, digital scanning and advisory support. For a non-resident, choosing the right provider can make a significant difference in the quality of day-to-day management.

Selection criteria:

Active mail management
The provider must physically receive all post, scan it and forward it to the director in digital format within reasonable timeframes — ideally within 24–48 hours of receipt. A provider that simply holds mail without notifying the director is inadequate for professional management.

Experience with non-resident managed companies
Managing a LTD with a non-resident director involves specificities that a generalist provider may not be familiar with: HMRC communications requiring explanation in another language, support in understanding official correspondence, coordination with the client's tax adviser. A provider with specific experience in the non-resident segment delivers a qualitatively superior service.

ECCTA 2023 compliance
The provider must operate as a registered Authorised Corporate Service Provider (ACSP) with Companies House — a requirement introduced by ECCTA 2023 for corporate service providers. Using unregistered providers exposes the company to compliance risks.
